Terms of Service for ABMS

Welcome to ABMS (Automating Business Management System). These Terms of Service (“Terms”) govern your use of our platform, services, and any associated content (collectively referred to as “ABMS”). By accessing or using ABMS, you agree to comply with and be bound by these Terms.

1. Acceptance of Terms

By registering for or using ABMS, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you should not use ABMS.

2. Eligibility

To use ABMS, you must be at least 18 years old or have reached the legal age of majority in your jurisdiction. By using ABMS, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

3.1 Account Creation

To access certain features of ABMS, you may need to create an account. You agree to provide accurate, complete, and up-to-date information during the registration process.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

4. Use of ABMS

4.1 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use ABMS for your internal business purposes, subject to these Terms.

4.2 Prohibited Activities

You agree not to:

  • Use ABMS for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to any part of ABMS or its related systems.
  • Modify, adapt, or hack ABMS, or attempt to access ABMS’s source code.
  • Use ABMS to transmit any viruses, malware, or other harmful code.
  • Reproduce, duplicate, copy, sell, trade, or resell any part of ABMS without our express written permission.

5. Fees and Payment

5.1 Subscription Fees

Access to certain features of ABMS may require payment of subscription fees. You agree to pay all applicable fees as specified when you subscribe to such features.

5.2 Payment Terms

All fees are due in advance and are non-refundable, except as otherwise provided in these Terms. We may change our fees and payment terms at our discretion, and any changes will be effective upon your next subscription renewal.

6. Intellectual Property

6.1 Ownership

ABMS and all related content, including software, logos, graphics, and text, are the intellectual property of ABMS or its licensors. Your use of ABMS does not grant you any rights to our intellectual property, except as expressly provided in these Terms.

6.2 User Content

You retain ownership of any content you upload or submit to ABMS (“User Content”). However, by submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, distribute, and display such content for the purpose of operating and improving ABMS.

7. Termination

7.1 Termination by You

You may terminate your account at any time by following the account deletion process within ABMS or by contacting our support team. Upon termination, your right to use ABMS will immediately cease.

7.2 Termination by Us

We may suspend or terminate your access to ABMS at any time, with or without cause, and with or without notice, for any reason, including if you violate these Terms.

8. Disclaimers

8.1 “As Is” Basis

ABMS is provided on an “as is” and “as available” basis. We disclaim all warranties, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 No Guarantee

We do not guarantee that ABMS will be error-free, uninterrupted, or secure, or that any defects will be corrected.

9. Limitation of Liability

To the fullest extent permitted by law, in no event shall ABMS or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use ABMS;
  • Any unauthorized access to or use of our servers and/or any personal information stored therein;
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through ABMS by any third party;
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content made available through ABMS.

10. Indemnification

You agree to indemnify, defend, and hold harmless ABMS and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your use of ABMS or your violation of these Terms.

11. Changes to These Terms

We may modify these Terms at any time. We will notify you of any significant changes by posting the revised Terms on our platform and updating the “Effective Date” at the top of this page. Your continued use of ABMS after the changes take effect constitutes your acceptance of the modified Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Vietnam, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms or your use of ABMS will be resolved exclusively in the courts of Vietnam.

13. Miscellaneous

13.1 Entire Agreement

These Terms constitute the entire agreement between you and ABMS regarding your use of the platform and supersede any prior agreements.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

No waiver of any term or condition of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition.
